Terms of Sale
Article 1 — Scope
These Terms of Sale govern the provision of the Manu Assistant Service to Clients acting for professional purposes.
Article 2 — Contractual documents
The contract comprises, in descending order of priority, the accepted quotation or purchase order where applicable, these Terms of Sale, the Terms of Use, the GDPR Data Processing Annex, the Privacy Policy for processing for which MANU ASSISTANT acts as data controller, and any product documentation expressly incorporated into the contract.
Article 3 — Plan and licence
The Service is provided as a SaaS subscription. Unless otherwise agreed, access is personal, assigned to named individuals and reserved for Users authorised by the Client. The number of users, practitioners, practices, establishments or sites covered depends on the plan subscribed to.
Video consultations included. Since 20 October 2026, subscriptions providing active access to Manu have included video transmission and controlled-access record and patient space features at no extra charge. Video consultations are also available during a valid trial. They are intended for one practitioner and one adult patient, with one active room per practitioner and a maximum duration of 120 minutes. No audio or video recording is enabled within this scope. The professional remains responsible for the suitability of remote care and the patient's consent.
Article 4 — Free trial
The Solo plan includes a free trial of 21 days (3 weeks), with no payment card required and and no commitment, under the conditions presented on the Website at the time of subscription. No automatic charge is made when the trial ends. To continue, the Client expressly chooses and confirms a paid subscription. The application trial is granted only once and cannot be combined with a second free trial when purchasing through an app store.
Article 5 — Prices
Unless a specific offer applies, the Solo plan costs €39 per month including VAT for one practitioner after the free trial. The Practice plan or any multi-practitioner plan is subject to a quotation specifying the users covered, access and agreed support. The Solo plan price is not a total price for several practitioners.
The Solo subscription is monthly, with no minimum commitment period.
The Solo price of €39 including VAT is the total monthly amount payable, including applicable taxes; no additional tax is added. The terms of existing subscriptions are preserved. Prices and promotional offers displayed on the Website may change prospectively; a change does not retroactively affect a period already paid for.
Article 6 — Billing and payment
Subscription payments are made in advance, at the frequency specified in the subscribed plan. Invoices are made available in the client area or sent electronically. In the event of a payment failure or delay, the Publisher may send a reminder, suspend all or part of the Service and then, if the matter remains unresolved, terminate the contract.
The video consultation service information sheet describes the included features and supporting documents to retain. An individual certificate of provision may be issued after checking the purchase and dates; it does not replace the invoice or receipt supplied by the purchase channel and does not guarantee FAMI assistance. A free trial or complimentary access does not prove a paid subscription.
Article 7 — Term, renewal and cancellation
Unless otherwise agreed, the Solo subscription is monthly and automatically renews each month.
The Client may cancel at any time through their client area or using the procedure stated when subscribing. Cancellation takes effect at the end of the month already paid for: the current month remains payable, but no future month is due.
Article 8 — Right of withdrawal
The Service is intended for professional Clients. Consumer protection rules are not intended to apply, subject to any mandatory legal provisions that may apply to certain small organisations in light of their specific circumstances.
Article 9 — Support and maintenance
The Publisher provides functional and technical support under the terms of the subscribed plan. Standard corrective maintenance and updates to the Service are included unless otherwise agreed.
Article 10 — Third-party services and integrations
The Service may offer integrations, exports or connectors with third-party services. These third-party services remain the responsibility of their respective providers. The Client is solely responsible for its access rights, subscriptions, settings and compliant use of these third-party services.
Article 11 — Exit arrangements and data return
During the contractual relationship, the Client may export certain data or Outputs, depending on the plan and available features. At the end of the contract, the Client benefits from a reasonable exit period, normally 60 days unless otherwise agreed, to retrieve its data in the formats offered by the Service.
After this period, and subject to statutory retention obligations, data may be deleted or anonymised under the applicable contractual framework and the Client's instructions where it acts as data controller.
Article 12 — Confidentiality
Each party undertakes to keep the other party's non-public information obtained under the contract confidential throughout its term and for 3 years after its expiry, unless a longer period is required by law or by the nature of the information.
Article 13 — Liability
The Publisher is subject to an obligation to use reasonable endeavours. Unless mandatory law provides otherwise, the Publisher is not liable for indirect loss such as business interruption, loss of revenue, loss of opportunity, reputational damage or data loss resulting from the Client's failure to fulfil its own backup, verification or security obligations.
Except in cases of gross negligence, wilful misconduct, infringement of intellectual property rights or breach of an obligation that cannot lawfully be limited, the Publisher's aggregate liability is capped at the amount excluding tax paid by the Client in the 12 months preceding the event giving rise to liability, with a contractual minimum of €600.
Article 14 — Force majeure
Neither party may be held liable for a failure caused by a force majeure event within the meaning of French law. Affected obligations are suspended for the duration of the event. If the impediment continues beyond 60 days, either party may terminate the contractual relationship prospectively.
Article 15 — Personal data
TheGDPR Data Processing Annex forms an integral part of the contract where applicable. The Terms of use distinguish Manu professional access from Théra patient access; the patient information notice presents the programme, feedback and video consultations.
Article 16 — Governing law and jurisdiction
These Terms of Sale are governed by French law. Unless mandatory law provides otherwise, any dispute relating to their interpretation, validity or performance falls within the jurisdiction of the competent courts of Paris.
